Role: Executive: Governance

Reporting to: Chief Executive Officer (CEO)

Location: Windhoek

Nature of the position: 5-year fixed-term contract

Primary purpose of this position:

  • To develop, direct and implement CPBNs strategic corporate governance and company secretarial services in accordance with Namcode, the Public Procurement Act (15 of 2015) as amended, and other applicable laws, rules and regulations.
  • The role is also responsible for participating in the development of CPBNs integrated strategy and facilitating its implementation in a way that supports the Boards vision, mission, strategic and operational objectives.

Key Performance Areas:

Strategic/Operational Planning, Policies and System Development & Implementation

Provides Governance related inputs into Development of CPBNs 5-year Strategic Plan and annua Business Plan.

Governance & Secretarial

Ensures that Board and Sub-Committee meetings are properly convened and conducted in line with Governance principles at all times.

Advisory Services Support

Undertakes local and international Governance and risk management research in the field of public procurement in order to keep up to date with trends and developments that are relevant to the effectiveness of CPBN.

Advises the Executive team in the effective planning and execution of their roles and functions of the Board and its Committees.

Advises the Board and Sub-Committees on good practice in Corporate Governance and risk management implications on the Boards decision-making processes.

Provides professional advice and guidance to the Board and Management on all matters of governance, risk and compliance.

Interprets Board resolutions to ensure implementation by management is in line with Boards decision at all times.

Risk Management

Oversees the development of CPBNs risk register, by reviewing and updating it.

Oversees the development and implementation of a risk framework to mitigate risks within the CPBN.

Develops risk reports and present it at the EXCO, Audit Committee and Board meetings.

Management of Personnel and other Resources

Checks to ensure Departmental budgets are aligned to the projects and initiatives set out for the year.

Work with Human Resources to ensure that the Departments Structure is populated with the right people at all times.

Qualification and Experience Required:

  • Masters Degree in Law (NQF9) or equivalent OR Bachelors of Law (LLB) (NQF8) Plus relevant Certification.
  • Eight (8) years relevant working experience in a corporate environment, of which 5 years should be at senior management level.
